Task description

This is a binary classification task in which the model must determine if a contractual clause falls under the category of “Change Of Control”.

Task construction

This task was constructed from the CUAD dataset, which annotated clauses in 500 contracts according to 41 types. Positive samples for this task correspond to clauses for which annotators answered the following question in the affirmative:

Does the clause give one party the right to terminate or is consent or notice required of the counterparty if such party undergoes a change of control, such as a merger, stock sale, transfer of all or substantially all of its assets or business, or assignment by operation of law?

Negative samples are randomly selected from other clauses.
